Welcome to Qianzhuli (the "Software"). Please read this Agreement carefully before using the Software. By downloading, installing, registering, logging in to, or otherwise using the Software, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.

1. Parties and Scope

1. This Agreement is entered into by and between the operator of the Software ("we", "us", or "our") and the user ("you" or "your").
2. This Agreement applies to your access to and use of all functions and related services of the Software, including data input, import/export, storage, and backup activities.
3. If you do not agree with any part of this Agreement, you must immediately stop using the Software.

2. License Terms

1. Subject to your compliance with this Agreement, we grant you a revocable, non-exclusive, non-transferable, and non-sublicensable license to use the Software.
2. The license is limited to lawful personal use or authorized business use.
3. Without our prior written permission, you may not reverse engineer, decompile, disassemble, remove proprietary notices, redistribute the Software, or use it for unlawful purposes.

3. User Obligations

1. You shall ensure that all data you enter or store is lawful and does not infringe third-party rights.
2. You are solely responsible for safeguarding your device, credentials (if any), and local backup files.
3. You shall perform regular backups and verify backup recoverability.

4. Disclaimer of Warranties and Liability

The Software is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we are not liable for losses arising from device failures, user mistakes, lack of backup, third-party service changes, or force majeure. Assistive features do not constitute professional advice.

5. Data and Privacy

The Software primarily relies on local storage. You are responsible for securely storing exported backup files. See our Privacy Policy.

6. Updates, Modification, and Termination

We may update the Software or this Agreement. Continued use constitutes acceptance. We may suspend or terminate your license if you violate this Agreement.

7. Intellectual Property

All rights in the Software belong to us and/or relevant rights holders.

8. Governing Law and Dispute Resolution

This Agreement is governed by applicable U.S. federal law and the laws of the State of Colorado. Disputes may be submitted to courts located in Colorado, USA.

本软件按「现状」和「可用」提供。因网络异常、设备故障、误操作、未备份、第三方服务异常或不可抗力等导致的功能不可用或数据丢失，我们在适用法律允许范围内不承担责任。语音播报、通知提醒等仅作为辅助工具，不构成专业建议。

5. 数据与隐私

本软件以本地存储为主。详见 隐私政策。

6. 更新、变更与终止

我们有权更新本软件功能或本协议；您继续使用即视为接受更新后的协议。

7. 知识产权

本软件及相关代码、界面、文档、标识等知识产权归我们或权利人所有。

8. 法律适用与争议解决

本协议受适用的美国联邦法律及科罗拉多州法律管辖。争议可提交至美国科罗拉多州有管辖权的法院处理。
